Why Use an Attorney to Form an LLC?

Filing the state paperwork is the easy part. The decisions that protect you are in the details: who owns what, who makes decisions, what happens if a partner leaves, dies or wants out, and how profits and losses are allocated. An online filing service fills in a form. We help you make those decisions and put them in writing.

What’s Included

  • Choosing the right entity: LLC, corporation, or a different structure for your goals
  • Preparing and filing the Articles of Organization with the California Secretary of State
  • A custom operating agreement for single-member or multi-member LLCs
  • Initial Statement of Information and compliance calendar
  • Buy-sell provisions for death, disability, divorce or departure of an owner
  • Coordination with your accountant on tax elections
  • Coordinating your business interests with your living trust so they avoid probate

Ongoing California Requirements

California LLCs must file a Statement of Information every two years and generally owe the state’s annual minimum franchise tax, currently $800 for most LLCs, plus a fee based on gross receipts above certain levels. Missing these can lead to penalties or suspension. We give you a simple calendar so nothing slips.

Already Have an LLC?

We review existing operating agreements, add missing buy-sell terms, admit new members, and serve as outside general counsel for contracts and day-to-day questions. Business matters average about $400 per hour, and we quote flat fees for defined projects. See fees.

Frequently Asked Questions

Should I form an LLC in California or in another state like Delaware or Wyoming?

If you do business in California, you will generally still have to register here and pay California’s franchise tax, so forming elsewhere often adds cost without saving tax. We explain when another state makes sense.

Do I need an operating agreement?

California expects LLCs to have one, and it is your main protection in disputes between owners. A generic template rarely covers what matters most for your business.

How long does it take?

Most formations are prepared within days of our planning call. State processing times vary.

Can you help non-English-speaking owners?

Yes. Consultations are available in English, Romanian and Russian.
